Just like the Sharks set aside money to invest, if you are selected you are required to invest between $75K and $1M.

Why allow Non-Accredited Investors – (Those not considered “wealthy”) to invest in Start-ups?
My amazing dad was a school teacher. He and my miracle-working mom raised 11 boys and several of the neighbors. Dad was not a millionaire so he was not qualified as an accredited investor. This meant he didn’t get a chance to invest in many start-ups that were only available to accredited investors. We also know that with every HUGE success, many more companies failed completely, and those investors lost all of their investments. That is why the regulators have been so eager to protect the non-accredited investors, limiting the amount they can invest in private companies based on their income / net worth – to protect how much they could lose.
Today anyone 18 and older can invest in a private company with a $100 or more at a time. Investment is high risk so you should only invest what you can afford to lose. But what a wonderful privilege to get in close to the ground floor where the opportunity to see your money multiple over and over again, just remember, the higher the potential reward, the higher the risk.
So Why Don’t more people Invest in stocks?

The JOBS ACT and the related rules and regulations that make it work allow companies to offer their stock to their customers, fans and others 18 years old and older. Investments in public companies can be liquid – which means you can sell it almost any time. Investments in private companies may never be liquid. This means you can’t get your money back out whenever you want.

Usually, investments have been through stock brokers, but now more than half of the investments are done online with the investor researching the risks and investing. Investing in private companies requires the same effort.

The ICONS and Heroes of America’s Real Deal Invest in this FUND for diversification in Season Two companies presenting on the show; ownership in the TV show as it grows year after year; and ownership in ISM, the compliance company that has ownership in each company participating on the show.
However, the main reason we use this FUND is to insure your integrity and the integrity of the show, so that when you commit to invest in a business, the monies are transferred immediately, unlike other shows where more than half the deals committed to are never funded.

We are the only FUND that has an exclusive TV Show to promote the companies it invests in. Our TV series will allow the television and online audience (anyone 18 and older) to invest in private companies.
ICONS & Heroes get a sneak peek at every deal before filming beginners. There is no negotiation on the show since the deals are filed with the SEC, this allows ICONS and Heroes to ask the real questions, because they have access to the CPA Audited Financials & SEC Disclosures.
A Stock Market
We are the only FUND that has an exit / liquidity platform when the time is right to sell. America’s Crowd Fund helps their investing partners diversfy into growing private companies to enjoy the ride to liquidity when they go public with ISM. The investment compliance is handled by our affiliated entity, the Independent Stock Market (ISM) and their partners.
A Positive Start
Most funds are instantly diluted because of 8% upfront Broker/Dealer fees and 2-3% AUM fees. Our FUND only has a 4% upfront operational fee and only 1% AUM. HOWEVER, because of the discounts we receive from the participating companies, our FUND starts in the positive. Can your fund do that?
All Your Money Back First
Before we get our 20% carry, 100% of the profits of the FUND are distributed to the LP’s until they receive all their investment capital, at that point, we split 80/20 with you, and you can invest your principal wherever you wish.

Invested into America’s Real Deal a dba of Jumpstart Main Street Corp.
Revenue Model: TV advertisers, sponsors, product placement – like other TV shows, PLUS, up to 35% of the sales when viewers ‘Buy’ from our QR code or our website.
Investment Terms & Valuation: Fund investment into ARD is a Preferred Stock which receives 100% ROC – after $3.5M is set side for the next season. Valuation of $40M
Invested into Independent Stock Market Corporation
Revenue Model: Consulting fees of $15K to $100K and up to 5% equity in each client for coaching on SEC compliance, valuations, orgainization, and capital strategies, year after year. Each year want to raise capital they will pay the cash fees again.
Investment Terms & Valuation: Fund investment into ISA is a Preferred Stock which receives 100% of the net profits, until they receive 100% ROC. Valuation of $60M. The investments in ISM and ARD are more like a loan because investors get all the profits first.
Invested into the companies presenting on Season Two of America’s Real Deal.
Model: Each deal is unique. But liquidation can begin as soon as 18 months. ICONS and Heroes can allocate up to 40% during the filming and if there is any amount not allocated by the ICONS & Heroes, the FUND managers will allocate the rest.
Divided up into 4% of operational upfront fees and 6% into companies who were on Season One or those preparing for Season Two.
Model: Some companies from Season One are still letting us in at the Season One valuation even with increases of 20% or more, other companies, getting ready for Season Two need a small loan to boost inventory, paying us back out of Season Two funding with a stock kicker
