SHOWCASED CONSISTENTLY ON THE TV SHOW
As long as you are meeting the terms of our agreement, we will showcase you in every Season – year after year on the TV Show, helping you get exposure and capital. If you are raising capital you will need a new Equity Crowdfunding Offering campaign that costs $15K plus your accounting fees. All other consulting fees are replaced by the 5% equity.

During our consulting visits we will strategize with an eye for acquisition or going public. When you are ready we take you through the entire process of going public through our REG A+ model, consulting you through every step of the process and assisting you once you are public. (There is an additional cost of just $100,000 plus GAAP audits at that time.)
INTERNATIONAL OPPORTUNITIES
When you are ready to international expansion, we will invite you to join us as we expand the TV Show and our other services around the world. There may be additional costs associated with securities regulations etc.

MAINTAIN YOUR CURRENT VALUE
We expect that your valuation will increase from its current value of 5% or more, therefore, your personal value in your business is not diluted, and may be increased by the new valuation that demonstrates the benefit of working with ISM and America’s Real Deal. For example if your valuation is $8,000,000 and our fee is $400,000 in non-voting common stock, we have seen in the past and anticipate similar valuation adjustments in the future that your new valuation will be increased by at least 5% to $8,400,000 or more, thus off-setting our equity fee. You started with $8M in value for your company and you should continue with that or more.
NO SURPRISE FEES
We grandfather your costs. Each time you need to do an equity crowdfund raise or private placement offering, we will maintain our price of $15K. When you are ready to go public with us through REG A+ offerings we will maintain or price of $100K upfront. You will not be charged additional equity.

The equity is how we look to profit from this relationship. So we will work with you in helping scale your business for you to eventually be acquired or go public ideally at multiples of your current value. When this happens everyone wins, you and your early investors, us, and your new investors.
Services Provided
Equity Crowdfunding Costs:
We partner with you for 5% of your business, leaving you the other 95%. Working with us helps you boost the overall value of your business as you work with our business partners, leaving you with an overall increase, despite our small stake in your business.
A small percentage of the capital (5%) you will raise will go to the escrow agent and Broker/Dealer or the Funding portal for their services. They handle the transactions, execution of subscription agreements, and handle escrow on your behalf, in keeping with Securities Rules compliance.
We receive 35% of your product sales through our website and affiliate links that we advertise for you; does not include direct sales on your website.
In order to comply with the Securities Rules, we suggested a few different accounting services based on the level of capital raised. We have done the legwork to partner with some fantastic firms.
There is a $15K consulting fee to put the funding campaign together, prepare the disclosure documents, file with the SEC and cover background and escrow cash fees. Anyone who has raised capital in the past knows that is a bargain. Before coming in as partners with our clients, we charged $50,000, and that was still a good deal. Now we hand-select who we will work with and partner with them for the long haul. Year after year, with the plan to eventually take them public, requiring just $15K cash upfront.
We suggest setting aside a marketing budget. We can help you manage this as well.
Qualification & Sign Up:
No matter what size of company you are, we would love to help get you to the next level. Everyone should apply. However, these are the ideal qualifications for raising capital:
1. Revenue for at least six months – for Season Two of America’s Real Deal we are looking for companies with at least $1M in revenue.
2. Unique product or service.
3. Professional & experienced management team.
4. Scalable business model.
5. Substantial customer/fan base.
6. Ability to cover our fees as well as accounting and marketing expenses.

Step by Step Process once you are Accepted:
1. Attend our On-boarding Meeting to coordinate with the ISM team & your team to insure consistent flow of the required information.
2. Provide Organization, Shareholder and Board Meeting Minutes for ISM to review & insure your house is in order. We can help create or update when necessary.
3. Prepare Financial Statements & Offering Documents – review the ISM prepared Investment Campaign, Disclosure Documents & Valuation.
4. Once the offering documents are filed with the SEC’s EDGAR and our website, attend our Launch Meeting to discuss marketing strategies to your customers, fans, and other strategic investors. Review other marketing options.
Raise your Initial $100,000 or $5M:
Like all crowdfunding sites, success depends on your efforts. Simply having a TV show and investors are not enough. You can engage your fans by sending them to website where they can review your campaign page and invest. The money is securely held by an escrow agent (aka “qualified third party”). When you reach your funding goal, the capital is released to you, less the 5% for the funding portal or the broker-dealer.
Appear on America’s Real Deal:
If you raise funds on our partner crowdfunding platforms you qualify to be on America’s Real Deal. There is a fixed marketing cost of $25K. This gets you video with the Celebrities, a professional backstory video and TV air time.
Do you need to Raise more than $5M?
If your company is valued at $25M or more – you may want to apply for our GO PUBLIC WITH ISM service. An all-inclusive full REG A+ offering package in which you can raise up to $75M.
