Frequently Asked Questions from Icons & Studio Audience

Is there was any dilution written into the contracts for the Icons?

The ICONs and Studio Audience Investors are investing into America’s Crowd Fund One, L.P.  It invests in the companies on the show and ISM platform as well as the supporting entities. There is not individual contracts with the business clients to protect from dilution.

How are the On-set investors protected if there is another round of funding?

Is there a way to protect his initial percentage he invested? They own stocks at the price offered in the equity crowdfunding raise. If the company does another raise they will be diluted but for most companies it would mean that the value of their stock increased in value.

Do the On-set investors have Pro - Rata rights?

The ICONS and Studio Audience Investors will not have pro-rata rights. However, as insiders they will have first rights to invest in any offerings that ISM manages.

Sharks on Shark Tank get paid. Why can't the ICONS or Studio Audience Investors get paid to be on America's Real Deal?

Because non-accredited investors are invited to invest. They respect the ICONS and listen to their expertise, if the ICONS were paid it might appear to be a paid endorsement of the companies presented, which might be a conflict of interest.
